Terms of Service

1. Acceptance

By creating an account or using RescueSphere, you agree to these Terms of Service ("Terms"). If you're agreeing on behalf of an organization, you're confirming you have authority to bind that organization. If you don't agree, don't use the service.

2. The service

RescueSphere is a cloud-based software platform built for animal rescue organizations. It provides tools for managing animal records, adoptions, fosters, volunteers, donors, donations, and a website builder for your public-facing site. We may add or change features over time.

3. Your account

One organization per account. You're responsible for providing accurate signup information, keeping your credentials secure, and for everything that happens under your account. If you invite other people from your organization as users, you're responsible for their use of the service. Tell us promptly if you suspect unauthorized access.

4. Subscription and billing

RescueSphere is billed monthly (or annually, at your option) based on the plan tier you select: Community, Rescue, Rescue Pro, Operations, or Enterprise. After your free trial ends, the card on file is charged automatically each billing period. There are no refunds for partial periods. You can cancel any time. Cancellation takes effect at the end of your current billing period, and you'll keep full access until then.

5. Free trial

New accounts get a 30-day free trial. No credit card is required to start. We reserve the right to suspend or revoke trials we believe are fraudulent, abusive, or being used to circumvent paid subscriptions.

6. Your content

You own all of the data, text, images, and other content you put into RescueSphere ("Your Content"). You grant us a limited, worldwide license to host, store, copy, transmit, display, and otherwise process Your Content strictly to operate the service for you. That license ends when you delete the content or when your account is terminated, subject to the retention period in Section 10.

Media you add to Studio. Studio lets you build reels and graphics from photos, video, and music. You are responsible for holding the rights to any media you upload or otherwise supply yourself — including audio and music — and you confirm that your use of it, including publishing it to social platforms through RescueSphere, does not infringe anyone's copyright or other rights. The music in RescueSphere's built-in Studio library is separately licensed by us for you to use within the service; music or other media you bring yourself is not covered by that license, and clearing it is solely your responsibility. You agree to indemnify us for claims arising from media you supply.

7. Acceptable use

You agree not to:

  • Use RescueSphere for anything illegal.
  • Use it to send spam or unsolicited bulk communications.
  • Reverse-engineer, decompile, or attempt to extract the source code of the service.
  • Resell, sublicense, or operate the service on behalf of unrelated third parties without our written permission.
  • Harass, threaten, or abuse anyone who receives communications you send through RescueSphere.
  • Probe, scan, or interfere with the security of the service or other tenants.
  • Upload or add to Studio any audio, music, video, or other media you don't have the rights to use and publish, including on social platforms.

8. Communications you send

When you use RescueSphere to email adopters, donors, volunteers, or other recipients, you are the sender for legal purposes. You are responsible for complying with the CAN-SPAM Act (and any equivalent law that applies to you), honoring opt-outs promptly, and providing your own privacy notice to people whose information you collect.

Text messages (SMS). If you use RescueSphere's SMS features, you are the sender of those messages and are responsible for complying with the Telephone Consumer Protection Act (TCPA), the CTIA messaging guidelines, and any other law that applies to you. You may only text people who have given you the necessary prior consent, you must clearly identify your organization, and you must not text anyone who has opted out. RescueSphere honors the standard keywords STOP (opt out), START (opt back in), and HELP on your behalf; you must not interfere with or attempt to override these. Message and data rates may apply to recipients. You are responsible for obtaining and keeping records of consent, and you agree to indemnify us for claims arising from messages you send.

9. Payment processing

Donations and subscription payments are processed by Stripe under Stripe's terms. Stripe's processing fees are passed through to you. We don't mark them up. We don't store full payment card numbers ourselves.

10. Data export and cancellation

You can export your data (CSV or JSON) at any time from inside the product. After cancellation or termination, we keep your tenant data for 30 days so you can come back or pull a final export, and then we delete it from active systems. Encrypted backups age out on their normal retention schedule.

11. Service availability

We aim for high uptime and we work hard to keep RescueSphere fast and reliable, but we don't offer a formal service-level agreement at this stage of the company. The service is provided on an "as-available" basis.

12. Modifications to the service

We may add, change, or remove features over time as the product evolves. If we make a material reduction in functionality, we'll give reasonable advance notice in-app or by email.

13. Termination by us

We may suspend or terminate your account for material breach of these Terms, including violations of Section 7. We'll give reasonable notice and a chance to cure, except in cases of abuse, security risk, illegal activity, or non-payment, where we may act immediately.

14. Warranties and disclaimers

EXCEPT AS EXPRESSLY STATED, RESCUESPHERE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.

16. Indemnification

Each party will defend and indemnify the other against third-party claims arising from its own breach of these Terms or its violation of applicable law. The indemnified party must give prompt notice and reasonable cooperation. This is the standard mutual indemnification you'd expect.

17. Governing law

These Terms are governed by the laws of the State of [State], USA, without regard to its conflict-of-laws principles. The exclusive venue for any dispute is the state and federal courts located in [County], [State].

18. Changes to these terms

We may update these Terms over time. If we make material changes, we'll notify you in-app and by email before they take effect. Continuing to use RescueSphere after the effective date means you accept the updated Terms.
